Terms of Service
1. Service Description & Status as Intermediary
KOZENET PRO is a technology platform ("SaaS") that provides infrastructure for professionals ("Providers") to manage their businesses.
IMPORTANT: KOZENET PRO is purely a technology provider. We do not provide the actual services (e.g., beauty, medical, legal, or maintenance services) offered by the Providers using our platform.
2. User Obligations
- Provide accurate registration details.
- Maintain security of login credentials.
- Not misuse the platform for illegal activities.
- Comply with applicable laws (LGPD, GDPR, CCPA, FTC rules) regarding your own clients' data.
3. Provider Responsibilities & Disputes
As a Provider using KOZENET PRO to serve your own clients ("End-Clients"), you acknowledge and agree that:
- Service Delivery: You are solely responsible for the quality, safety, timing, and legality of the services you provide to End-Clients.
- Disputes: Any dispute regarding a service failure, refund, injury, or missed appointment is strictly between you (the Provider) and the End-Client. KOZENET PRO is not a party to these transactions.
- Content Accuracy: You are responsible for the accuracy of your pricing, service descriptions, and availability displayed on your KOZENET PRO site.
- No Agency: Use of the platform does not create an employee, partnership, or agency relationship between you and KOZENET PRO.
4. Subscription & Billing
- Transparent pricing displayed on our website.
- Refunds for the SaaS subscription are available within 7 days of purchase.
- End-Client Payments: Payments collected from your clients via the platform are processed by third-party gateways (e.g., Stripe). KOZENET PRO is not responsible for chargebacks or refunds related to your services.
5. Intellectual Property
- KOZENET PRO retains ownership of the platform code, design, and software.
- Users retain ownership of content/logos they upload but grant KOZENET PRO a license to host it.
6. Service Level Agreement (SLA)
We aim for 99.5% uptime. However, we are not liable for business losses due to internet outages or third-party (Stripe/AWS) failures.
7. Limitation of Liability
To the maximum extent permitted by law (Civil Code of Brazil/USA Commercial Code):
- KOZENET PRO provides the software "as is".
- We are not liable for any damages arising from the relationship between Providers and End-Clients (e.g., a bad haircut, medical malpractice, or a missed wedding photographer).
- Our total liability for any software claim is limited to the amount the User paid to KOZENET PRO in the last 6 months.
8. Indemnification
You agree to indemnify, defend, and hold harmless KOZENET PRO, its founders, and employees from any claims, liabilities, damages, and expenses (including legal fees) arising from:
- Your violation of these Terms;
- Your violation of any rights of a third party, including your End-Clients;
- Any dispute between you and your End-Client.
9. Termination
We reserve the right to terminate accounts that receive excessive fraud complaints or violate our Acceptable Use Policy.
10. Governing Law
Disputes shall be resolved primarily through arbitration.
For Brazilian Users: Forum of Chapecó, SC.
For International Users: Governing laws of the State of Delaware (USA) or applicable international commerce laws.
